Terms of Use
1. Introduction
Section titled “1. Introduction”Welcome to FoxLeague, an on-chain soccer-management platform operated by Foxsy AI, a Wyoming corporation (“Foxsy”, “we”, “us”, “our”). These Terms of Use (“Terms”) form a binding agreement between you and Foxsy when you access or use our websites, apps, smart contracts or any related features (collectively, the “Services”).
By connecting a wallet, creating a team, joining a tournament or otherwise using the Services, you agree to these Terms and to any policies referenced here (including the Privacy Policy, the Fair Play Rules published in the FoxLeague manual and any event-specific terms). If you do not agree, do not use the Services.
2. Who May Use the Services
Section titled “2. Who May Use the Services”Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. Team creation asks you to confirm this.
Jurisdiction. You may not use the Services if you are in a country or territory embargoed or otherwise restricted by applicable sanctions laws or if you are barred from using the Services under applicable law.
KYC / AML. We or our partners may require identity verification (KYC) to enter certain tournaments or to receive rewards, subject to AML / CFT obligations. Failure to complete KYC when required may result in disqualification or forfeiture of rewards.
3. Nature of the Service (Skill-Based, Non-Gambling)
Section titled “3. Nature of the Service (Skill-Based, Non-Gambling)”FoxLeague is an on-chain soccer-management game on MultiversX. You own soccer players as ESDT non-fungible tokens (“NFTs”), train their stats, set tactics and formations and play matches whose outcomes are determined by squad composition, the on-chain synced stats of your players, your formation and tactical choices and the match-engine rules disclosed in the manual.
Entry fees (where applicable) are paid in $FOXSY. Eligible winners receive rewards in $FOXSY. $FOXSY is a utility token used within the Foxsy AI ecosystem for registration, tournament fees, training, syncing, marketplace transactions, fusion and other in-game actions. It does not represent equity, debt, revenue share or profit rights. The $FOXSY token is governed by Foxsy AI Foundation, an exempted foundation company limited by guarantee incorporated in the Cayman Islands (registration number 427600), which is not the operator of the Services.
4. Wallets, Keys, Network and Gas
Section titled “4. Wallets, Keys, Network and Gas”Self-custody. You are solely responsible for the security of your wallet, private keys, seed phrase and device. We cannot recover or reverse on-chain transactions. Lost keys mean lost access to your players, $FOXSY and any pending rewards.
Supported network. FoxLeague runs on the MultiversX mainnet. $FOXSY is the ESDT token FOXSY-5d5f3e; player NFTs are ESDT NFTs. $FOXSY has a market value: tokens you hold, spend, win or lose on the Services are real assets. Network outages, congestion or fee changes can affect your experience.
Gas for registration. The one-time registration transaction is relayed: a FoxLeague relayer pays its network fee, so you need no EGLD to create your team. Relayed registrations are rate-limited per wallet and capped per day for the whole platform; past the daily cap, registration waits until the next day. Every other on-chain action is an ordinary transaction whose network fee you pay in EGLD.
Onboarding EGLD bonus. At our discretion, while a promotional pool lasts, we may send a small amount of EGLD to a newly registered wallet that holds almost none, to cover its first network fees. The bonus is a promotion, not an entitlement. We may change or end it at any time.
Smart contracts. Interactions with on-chain contracts are final. Ensure you are interacting with official contracts and interfaces published by Foxsy. Our contracts are upgradeable and can be paused (see section 9).
5. Fees, Payments, Prizes, Refunds and Taxes
Section titled “5. Fees, Payments, Prizes, Refunds and Taxes”All prices are in $FOXSY unless stated otherwise. Prices and fees can change; the app shows the amount before you sign. A payment never takes more than the amount you signed.
Registration fee. Creating a team costs a one-time 5,000 $FOXSY, paid once per wallet in the exact amount. It delivers a starter squad of 18 player NFTs to your wallet. The registration fee is not refundable once your team is created. If you paid the fee but your team was not created, finishing the registration in the app creates it with the squad the fee paid for; no second payment is needed.
Shop. The Shop sells, for $FOXSY paid on chain to the FoxLeague players contract: the Common pack (currently 5 Common player NFTs for 2,500 $FOXSY, at most 2 packs per wallet per rolling 7 days); condition recovery (up to 100 $FOXSY per player, pro-rated by the missing condition); the XP booster (2,000 $FOXSY for 24 hours); training slots (20 $FOXSY each, at most 10 used per day on top of 5 free sessions); transfer cooldown reduction and fusion waivers; and badge regeneration (1,000 $FOXSY after 3 free regenerations). Other paid actions are the sync fee (10 $FOXSY per player) and the fusion fee (100, 200, 400 or 800 $FOXSY by rarity), which is returned with the cards if a fusion fails.
Shop refunds. A delivered purchase is final. If a payment cannot be delivered (for example a wrong amount, a sold-out pack or a failed delivery), the $FOXSY is returned automatically to the paying wallet. A payment that settled on chain but whose delivery was never confirmed is returned automatically after a grace period of 30 minutes. At most 10 automatic returns are sent per wallet per hour; a return beyond that limit is held for review and sent by hand.
Tournaments and 1v1 challenges. Entry fees depend on the tier: Bronze is free, Silver seats cost 1,000 to 4,999 $FOXSY and Gold seats cost 5,000 $FOXSY or more. The creator sets the exact fee inside the tier and you pay it exactly, on chain, into a free seat. The prize pool is the entry fee times the teams that joined. The platform fee is 10% of the pool on tournaments and on 1v1 challenges. A Silver or Gold tournament currently pays 45% of the pool to the winner, 30% to the runner-up and 15% to third place; a 1v1 challenge pays 90% of the pool to the winner. The event page shows the distribution before you join. A share of the platform fee (currently 2.5% of the pool) is paid as a creator royalty to the provider of the team binary the matches ran on, in the same on-chain distribution as the prizes; it never reduces a winner’s share.
Entry refunds. Your entry fee is returned in full if you leave while registration is still open, if the tournament is cancelled (including for too few participants) or if an unaccepted 1v1 challenge expires. If a return does not arrive, you can claim your entry yourself from the tournaments contract once the tournament is cancelled or completed; the page of a completed tournament offers this for an entry that never took a seat. Otherwise entry fees are not refundable once registration has closed, except where required by law.
Lineups and forfeits. Joining a tournament locks none of your players: you may still list, sell or field them elsewhere. Before each match your saved formation and lineup are captured at a per-match lock shortly before kick-off. A starter who is not match-fit at that moment (condition below 30 or inside a transfer cooldown) is replaced by a fit substitute. A match is forfeited 3-0 when your wallet can no longer field a legal squad of 18 or too few of its players are match-fit to fill the eleven. Selling a player you need is at your own risk.
Marketplace. Every sale is a 24-hour auction; instant buy is disabled. The reserve is at least 500 $FOXSY and each bid must beat the top bid by at least 5%. A bid in the last 5 minutes extends the auction by 5 minutes. The leading bid is held by the contract and returned when you are outbid. When the auction ends, the winner receives the NFT and the seller receives the winning bid minus a 10% fee. A sold player cannot be auctioned again for 48 hours.
Eligibility & payouts. You must meet all eligibility criteria (including KYC where required). Payouts are made on chain to the winning wallet.
Taxes. You are responsible for any taxes arising from your participation or rewards.
6. Fair Play, Anti-Cheat & Multiple Accounts
Section titled “6. Fair Play, Anti-Cheat & Multiple Accounts”The Fair Play Rules published in the FoxLeague manual set out what is expected of every manager, what is not allowed and the measures FoxLeague may take. They form part of these Terms.
Prohibited conduct includes (without limitation): multi-accounting to manipulate ELO or leaderboards, collusion in 1v1 challenges or tournament brackets, abusing onboarding bonuses, relayer gas coverage or promotional distributions, exploiting bugs in marketplace listings, fusion, training, sync or match-result pipelines and abusive use of automated tools, bots or scripts as described in the Fair Play Rules. We may disqualify entries, void rewards, remove teams or suspend wallets for suspected cheating or policy violations.
A transfer cooldown applies to NFTs received directly from another wallet: 21 days for an NFT that had reached its rarity’s competitive match gate when it moved, otherwise 21 days plus 6 hours for each missing competitive match. During the cooldown the receiving wallet cannot use those NFTs in tournaments or play matches with them, preventing rental-style abuse. The cooldown of an NFT that had reached its gate can be reduced for a fee down to a 3-day floor; the cooldown of an NFT that had not can be shortened only with match waivers, never below 21 days. A cooldown already running on 12 October 2026 at 14:30 UTC keeps its fee reduction down to the 3-day floor. Auction wins, fusion results and shop mints do not start a cooldown, but a cooldown that is already running stays on the NFT when it is sold; the listing shows it.
7. Content & Intellectual Property
Section titled “7. Content & Intellectual Property”Your content. Team names, coach names, in-game messages and other content you submit remain yours, but you grant Foxsy AI a worldwide, non-exclusive, royalty-free license to host, run, reproduce, display, distribute and create derivative works for operating and improving the Services (including replays, highlights and screenshots). Player names and shirt numbers are set by the game and cannot be edited.
AI-generated team badges. When you create a team, our system generates a unique badge image from your team name using a third-party AI image model (currently Google Gemini) and stores it on IPFS, where it is publicly retrievable. You may use this badge freely in connection with your team on the platform; Foxsy retains the right to re-use generated badges for platform purposes (anti-duplicate detection, marketplace display, tournament-bracket visuals, marketing of the platform itself).
Our IP. The match engine, viewer, tournament runner, smart-contract code, trademarks, logos and all related materials are owned or licensed by Foxsy AI. You may not copy, modify or create derivative works except as allowed by these Terms or event-specific licenses.
8. Third-Party Services
Section titled “8. Third-Party Services”The Services interact with third-party software you choose to install or connect, including (without limitation):
- the MultiversX network: gateway, API and SDK
- Wallet providers: xPortal, MetaMask (via the MultiversX snap), the MultiversX DeFi Wallet, Ledger
- Exchanges where $FOXSY is traded
- Google Gemini (team badge generation), IPFS (badge storage) and Telegram (community group and match announcements)
- Blockchain explorers and indexers
We are not responsible for third-party services. Your use of them is governed by their respective terms and privacy policies.
9. Risk Disclosures
Section titled “9. Risk Disclosures”Volatility & liquidity. $FOXSY is a utility token. Prices may fluctuate and liquidity can vary across venues. No value is promised.
Technical risks. Networks, smart contracts or services may experience downtime, bugs, exploits or upgrades that affect availability or functionality. Our contracts are upgradeable and can be paused with limited notice where that is needed to protect users or to fix a defect. A pause may temporarily suspend joins, tournament starts, payouts, purchases or transfers; tournament entry refunds stay open while the tournaments contract is paused.
Regulatory. Rules may evolve across jurisdictions and affect access to features or tokens.
10. Disclaimers; Limitation of Liability
Section titled “10. Disclaimers; Limitation of Liability”THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXSY AI AND ITS AFFILIATES DISCLAIM ALL IMPLIED WARRANTIES AND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OR ANY LOSS OF PROFITS, DATA OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
11. Suspension & Termination
Section titled “11. Suspension & Termination”We may suspend or terminate access for suspected policy violations, unlawful activity or to protect users or the ecosystem. Your player NFTs and $FOXSY stay in your own wallet: suspending access to the Services does not move them.
12. Changes to the Services or Terms
Section titled “12. Changes to the Services or Terms”We may modify the Services and these Terms. We will post the updated Terms with an updated “Last updated” date. Continued use constitutes acceptance of changes.
13. Governing Law & Dispute Resolution
Section titled “13. Governing Law & Dispute Resolution”Unless a specific tournament page states otherwise, these Terms are governed by the laws of the Cayman Islands. Disputes shall be resolved by confidential, individual arbitration under the Vienna International Arbitral Centre (VIAC) Rules, with one arbitrator. If arbitration is deemed unenforceable, the courts of the Cayman Islands shall have exclusive jurisdiction.
